These Terms of Service ("Terms") govern your access to and use of the website www.gigablue.co and any content, functionality, or services offered on or through it (together, the "Site"), operated by Gigablue Ltd. ("Gigablue", "we", "us", or "our"). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.

  1. Eligibility

You may use the Site only if you are at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization.

  1. About the Site and our services

The Site provides information about Gigablue's Microalgae Carbon Fixation and Sinking (MCFS) technology, our scientific research, and our carbon-removal services. The Site is informational. Any specific commercial offering, including delivery of carbon-removal credits, is governed by a separate written agreement between Gigablue and the buyer.

  1. Acceptable use

You agree not to:

  • use the Site for any unlawful, fraudulent, infringing, or harmful purpose;
  • reverse-engineer, decompile, scrape at a rate that interferes with normal operation, or attempt to gain unauthorized access to any part of the Site or its infrastructure;
  • introduce viruses, worms, or any malicious code;
  • impersonate any person or entity or misrepresent your affiliation;
  • use the Site or its content to train artificial-intelligence models without our prior written consent;
  • remove or alter any copyright, trademark, or other proprietary notices.
  1. Intellectual property

All text, graphics, images, video, scientific diagrams, code, designs, logos, and other content on the Site are owned by Gigablue or our licensors and are protected by copyright, trademark, and other laws. "Gigablue" and our logos are trademarks of Gigablue Ltd. You may view and download content for your personal, non-commercial use, but no other rights are granted. Any feedback, ideas, or suggestions you submit may be used by us without restriction or compensation.

  1. Third-party links and content

The Site may contain links to third-party sites or content. We do not control and are not responsible for third-party sites or their content, and a link is not an endorsement.

  1. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

  1. Forward-looking statements and scientific claims

Information on the Site about carbon-removal performance, durability, costs, scientific results, and timelines is based on our current research and good-faith estimates. Actual results may vary, and nothing on the Site is a representation, warranty, or guarantee of future performance. Investment, business, or scientific decisions should not be made based solely on Site content. Please contact us for current, written, project-specific information.

  1. No warranties

The Site is provided "as is" and "as available". To the maximum extent permitted by law, Gigablue disclaims all warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components.

  1. Limitation of liability

To the maximum extent permitted by law, in no event will Gigablue or its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or use, arising out of or in connection with your access to or use of the Site, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages. To the extent any liability is not disclaimable, our aggregate liability for any claim arising out of or relating to the Site is limited to one hundred US dollars (US$100). Nothing in these Terms excludes liability that cannot be excluded by law (for example, for death or personal injury caused by negligence, or for fraud).

  1. Indemnity

You agree to indemnify and hold Gigablue and its affiliates harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of law, or your infringement of any third-party right.

  1. Changes to the Site or these Terms

We may modify the Site or these Terms at any time. If we make material changes to these Terms we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms.

  1. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections that by their nature should survive termination (for example, intellectual property, no warranties, limitation of liability, indemnity, and governing law) will survive.

  1. Governing law and disputes

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws principles. Subject to applicable mandatory consumer-protection laws of your country of residence, you and Gigablue agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts. If you are an EU, UK, or Israeli consumer, this clause does not deprive you of the protection of mandatory rules of law in your country of habitual residence.
